Carrington Coleman also has an active Mergers and Acquisitions practice. Our Mergers & Acquisitions practice group represents both buyers and sellers in a wide range of industries in connection with business acquisitions and dispositions. These transactions include mergers, business consolidations, cash purchases of stock and assets, and acquisitions involving the use of the acquiring company's securities to fund the purchase price, on either a registered or exempt basis. We help our clients comply with securities, tax, environmental and labor laws, and other state and federal laws impacting business combinations. We are well versed in all aspects of complex acquisition transactions, including tax-favored deal structures, the antitrust clearance process, and the negotiation of indemnity, earn-out, and noncompetition provisions.
